NO PURCHASE IS NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT INCREASE THE CHANCES OF WINNING. THIS SWEEPSTAKES (AS DEFINED BELOW) IS INTENDED TO COMPLY WITH ALL APPLICABLE FEDERAL, NEW JERSEY, AND NEW YORK CONSUMER PROTECTION LAWS.

BY ENTERING THE SWEEPSTAKES, YOU AGREE THAT ALL DISPUTES WILL BE RESOLVED SOLELY BY BINDING ARBITRATION, AND YOU WAIVE THE ABILITY TO BRING CLAIMS IN A CLASS ACTION FORMAT.

OPEN TO LEGAL RESIDENTS OF THE CONTINENTAL U.S./D.C., AGE 18+. VOID OUTSIDE THE CONTINENTAL U.S./D.C. AND WHERE PROHIBITED. THE SWEEPSTAKES ARE IN NO WAY SPONSORED, ENDORSED OR ADMINISTERED BY, OR ASSOCIATED WITH, INSTAGRAM. BY ENTERING THE SWEEPSTAKES, YOU AGREE TO RELEASE AND HOLD HARMLESS INSTAGRAM FROM ANY AND ALL LIABILITY ASSOCIATED WITH THE SWEEPSTAKES.

  1. Overview; Eligibility: Paesana x Brooklyn Bred Super Bowl 2026 Giveaway (the "Sweepstakes") is open only to those who meet the entry requirements described in Section 4 during the Sweepstakes Period and remain followers of both Sponsors’ Instagram accounts at the time of winner selection. The Sweepstakes is open to the legal residents of the fifty (50) United States and the District of Columbia who are at least eighteen (18) years old at the time of entry. This Sweepstakes is void in jurisdictions where such sweepstakes are prohibited, including Puerto Rico, overseas U.S. territories, and outside the United States. Employees of Paesana and Brooklyn Bred (collectively, the "Sponsors"), their respective affiliates, subsidiaries, advertising and promotion agencies, suppliers and their immediate family members and/or those living in the same household of each are not eligible to participate in the Sweepstakes. Multiple entrants may not share the same Instagram account. To be eligible to win the Prizes (described below), you must follow the directions in the “How to Enter” section below and these terms and conditions (hereafter, these “Terms and Conditions”). The Sweepstakes is subject to all applicable federal, state and local laws and regulations. If any provision of these Terms and Conditions is found to be invalid under any applicable federal, state or local laws and regulations, such provision shall be severed from the remainder of these Terms and Conditions, which will otherwise remain in full force and effect.
  2. Agreement to Terms and Conditions: All participants of the Sweepstakes (each a “Participant” and collectively, the “Participants”) agree to be fully and unconditionally bound by these Terms and Conditions, and each Participant represents and warrants that he/she/they meet the eligibility requirements set forth herein. In addition, each Participant agrees to accept the decisions of the Sponsors as final and binding as it relates to the Sweepstakes.
  3. Sweepstakes Period: Entries will be accepted online starting on or about 01/18/2026 at 12:00:01 am and ending 01/26/2026 at 11:59:00 pm. All online entries must be received by 01/26/2026 at 11:59:00 pm. All times are Eastern Standard Time.
  4. How to Enter: During the Sweepstakes Period, a Participant may enter the Sweepstakes by: (i) using the Participant’s public Instagram account to follow both Sponsors’ Instagram accounts (i.e., @paesanagourmetspecialties and @bredinbk), (ii) liking the giveaway post (posted on 01/18/2026), and (iii) commenting a minimum of one (1) time on the giveaway post (posted on 01/18/2026) and using the hashtag #BrooklynBred_Paesana_Sweepstakes. All requirements listed in this Section and these Terms and Conditions must be completed in full for an entry to be considered valid. Each Participant will automatically receive one (1) entry into the Sweepstakes for each qualified entry. Entries that are not complete or do not adhere to the rules or specifications may be disqualified at the sole discretion of the Sponsors.
    • ENTRY LIMIT: One (1) base entry per Participant during the Sweepstakes Period by completing the requested steps. 
    • Participants may not enter more entries than indicated above by using multiple social media accounts/identities or devices in an attempt to circumvent the rules for entering the Sweepstakes. If a Participant uses fraudulent methods or otherwise attempts to circumvent the rules, a Participant’s submission may be removed from eligibility at the sole discretion of the Sponsors.
    • Alternate Means of Entry (“AMOE”): To enter without using Instagram, a Participant may send a postcard with the Participant’s full name, mailing address, email address, and phone number to: Paesana x Brooklyn Bred Giveaway, c/o L&S Packing Company, 7000 New Horizons Blvd, Amityville, NY 11701. All mail-in entries must be received by January 26, 2026. Each Participant through an AMOE will receive one (1) entry. No purchase is necessary to enter or win. A purchase does not increase the chances of winning.
    • Mobile Participation Notice: If you participate via a wireless mobile device, message and data rates may apply. Check with your carrier for details on your plan and applicable rates before participating.
  5. Prizes and Approximate Retail Value (“ARV”): Three (3) Participants shall be selected by Sponsors at random, and each shall win the following prizes: One (1) Six (6) pack of Paesana NY’s Classic Pizza Sauce, One (1) Paesana Logo Baseball Cap, Three (3) Paesana Logo Pens, and Two (2) 15oz Brooklyn Bred Traditional Pizza Crusts (2 per pack), One (1) Brooklyn Bred Baseball Cap, One (1) Brooklyn Bred Canvas Bag, Two (2) Brooklyn Bred Stickers (the “Prize(s)”). Participants are not guaranteed to win a Prize and each Participant’s chance of winning is dependent on the total number of eligible entries received. Actual/appraised value may differ at time of Prize award. For the avoidance of doubt, the ARV and the actual/appraised value of the Prizes won by each winner shall not exceed Five Thousand and 00/100 Dollars ($5,000.00). The specifics of the Prize shall be solely determined by the Sponsors. The Prize is nontransferable. Any and all Prize-related expenses, including without limitation any and all federal, state, and local taxes associated with the receipt of any Prize, shall be the sole responsibility of the winner. Sponsor will issue an IRS Form 1099-MISC to any winner for whom the value of prizes is $600 or more, as required by law. Prizes are not redeemable for cash. No substitution is permitted, except if a prize is unavailable, in which case a prize of equal or greater value will be awarded. Acceptance of Prize constitutes permission for the Sponsors to use winner's name, likeness, and entry for purposes of advertising and trade without further compensation, unless prohibited by law. Total ARV of all prizes: $150. Limit one (1) prize per person.
  6. Odds: The odds of winning depend on the number of eligible entries received during the entire Sweepstakes Period. If there are no eligible entries received during the Sweepstakes Period, there will be no drawing and the Prize(s) will not be awarded.
  7. Winner selection and notification: Winners of the Sweepstakes will be selected by a random drawing on or about January 27, 2026 from among all eligible entries received during the entire Sweepstakes Period under the supervision of the Sponsors. Winners will be notified via (i) direct message on Instagram, or (ii) the contact method provided in the AMOE within five (5) days following the winner selection. The Sponsors shall have no liability for a winner's failure to receive notice due to winners' spam, junk e-mail or other security settings or for winners' provision of incorrect or otherwise non-functioning contact information, or the failure of the U.S. Postal Service or commercial carriers (i.e., FEDEX, UPS, DHL) to deliver notice. If the selected winner cannot be contacted, is ineligible, fails to claim the Prize within ten (10) business days from the time award notification was sent, or fails to timely return a completed and executed affidavit of eligibility and a liability/publicity release as required, Prize may be forfeited and an alternate winner selected in a separate random drawing, up to two (2) alternates. The receipt by winner of the Prize offered in this Sweepstakes is conditioned upon compliance with any and all applicable federal and state laws and regulations. ANY VIOLATION OF THESE OFFICIAL RULES BY ANY WINNER (AT SPONSORS’ SOLE DISCRETION) WILL RESULT IN SUCH WINNER'S DISQUALIFICATION AS WINNER OF THE SWEEPSTAKES AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.
  8. Prize Conditions; “As Is” Disclaimer. Prizes are awarded “as is” with no warranty or guarantee, express or implied, by Sponsors. Sponsors and all other businesses affiliated with the Sweepstakes and their agents make no representations or warranties of any kind, express or implied, regarding the quality, conditions, fitness, or merchantability of any aspect of a Prize, except that each merchandise Prize may be subject to the manufacturer’s standard warranty, if any. Once delivered to the winner-provided address, a Prize is considered awarded.
  9. Rights Granted by the Participants; Publicity: By entering this Sweepstakes, the Participant grants to Sponsors and their licensees, successors, and assigns the worldwide, perpetual, royalty-free right to print, publish, broadcast, distribute, and use, worldwide in any media now known or hereafter in perpetuity and throughout the world, the Participant’s entry, including, without limitation, the entry and winner's name, portrait, picture, voice, likeness, image or statements about the Sweepstakes, and biographical information as news, publicity or information and for trade, advertising, public relations and promotional purposes without additional compensation, notification, or permission, unless prohibited by law. Except where prohibited, entry into the Sweepstakes constitutes the Participant’s consent to such use, and no compensation other than the Prize shall be due.
  10. Additional Terms: The Sponsors reserve the right, in their sole discretion, to cancel, terminate, modify or suspend the Sweepstakes should (in their sole discretion) a virus, bug, non-authorized human intervention, fraud or other causes beyond their control corrupt or affect the administration, security, fairness or proper conduct of the Sweepstakes. In such case, the Sponsors may select the recipients from all eligible entries received prior to and/or after (if appropriate) such action taken by the Sponsors. The Sponsors reserve the right at their sole discretion to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the Sweepstakes or website or violates these Terms and Conditions. The Sponsors have the right, in their sole discretion, to maintain the integrity of the Sweepstakes, to void an entrant for any reason, including, but not limited to, multiple entries from the same entrant from different IP addresses; multiple entries from the same computer in excess of that allowed by Sweepstakes rules; or the use of bots, macros or scripts or other technical means for entering. Any entry that includes illegal, false, or fraudulent information, obscenities, objectionable material, or which defames or invades the publicity or privacy rights of any person, living or deceased, or otherwise infringes upon any third party's rights, will be disqualified, as determined by Sponsor in their sole discretion.
  11. Legal Warning. ANY ATTEMPT BY ANY INDIVIDUAL, WHETHER OR NOT A PARTICIPANT, TO DAMAGE, DESTROY, TAMPER, OR VANDALIZE ANY SPONSOR PAGE OR INTERFERE WITH THE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SPONSORS RESERVE THE RIGHT TO SEEK DAMAGES AND DILIGENTLY PURSUE ALL REMEDIES AGAINST ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.
  12. Release; Limitation of Liability: By entering the Sweepstakes, each Participant agrees to release and hold harmless the Sponsors, and their subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers and directors (the “Released Parties”) from any liability, illness, injury, death, loss, litigation, claim or damage that may occur, directly or indirectly, whether caused by negligence or not, from (i) such entrant's participation in the Sweepstakes and/or his/her acceptance, possession, use, or misuse of any Prize or any portion thereof, (ii) technical failures of any kind, including but not limited to the malfunctioning of any computer, cable, network, hardware or software; (iii) the unavailability or inaccessibility of any transmissions or telephone or Internet service; (iv) unauthorized human intervention in any part of the entry process or the Sweepstakes; (v) electronic or human error which may occur in the administration of the Sweepstakes or the processing of entries. Nothing in this Section shall be construed to limit or exclude liability for gross negligence, fraud, or willful misconduct. Furthermore, each Participant agrees to release and hold harmless Instagram from any and all liability associated with the Sweepstakes. This Sweepstakes is in no way sponsored, endorsed or administered by, or associated with, Instagram.
  13. Governing Law; Dispute Resolution; Class Action Waiver; Remedies Limits. These Terms and Conditions, the Sweepstakes, and any issues and questions concerning the construction, validity, interpretation, and enforceability of these Terms and Conditions or the rights and obligations of participants or Sponsors will be governed by the laws of the United States, the State of New York, and the State of New Jersey, WITHOUT giving effect to any choice-of-law or conflict of law doctrines. To the fullest extent permitted by law, any and all disputes, claims, and causes of action arising out of or connected to the Sweepstakes or any Prize awarded will be resolved solely by binding arbitration on an individual basis before a single arbitrator under the streamlined Arbitration Rules Procedures of JAMS Inc. (“JAMS”) or any successor to JAMS; provided, however, that the Released Parties may seek injunctive or equitable relief in the state and federal courts in New Jersey. Disputes will be arbitrated only on an individual basis and not consolidated with claims of others or as a class action. If a court or arbitrator holds the class waiver unenforceable, then the agreement to arbitrate will not apply and the dispute must be brought in a court of competent jurisdiction in New Jersey. Either party may bring qualifying claims in small claims court.
  14. Damages Limitation and Remedies. TO THE EXTENT PERMITTED BY LAW: (A) ANY AND ALL CLAIMS, JUDGMENTS, AND AWARDS WILL BE LIMITED TO ACTUAL, THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO EXCEED TEN DOLLARS ($10.00); (B) IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (C) UNDER NO CIRCUMSTANCES WILL ANY PARTICIPANT BE PERMITTED TO OBTAIN, AND EACH PARTICIPANT HEREBY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR MULTIPLIED DAMAGES, LOST PROFITS, OR ANY OTHER DAMAGES BEYOND ACTUAL OUT-OF-POCKET EXPENSES NOT TO EXCEED TEN DOLLARS ($10.00); AND (D) PARTICIPANTS’ REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY), AND EACH PARTICIPANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS OR EXCLUSIONS OF LIABILITY; IN SUCH JURISDICTIONS, THE ABOVE MAY NOT APPLY.
  15. Privacy Policy: Personal information collected from Sweepstakes entrants is subject to Brooklyn Bred’s Privacy Policy located at https://brooklynbred.com/pages/privacy and Paesana’s Privacy Policy at Paesana Privacy Policy.
  16. Winners List: For the names of the winners, please contact us at info@Paesana.com and in the body of the email type “Please e-mail me the winners' list for the Paesana and Brooklyn Bred Sweepstakes”.
  17. Sponsors; Sweepstake Administrator: The Sponsors of the Sweepstakes are: (i) L&S Packing Company, Inc., 7000 New Horizons Blvd, Amityville, NY 11707, United States (“Paesana”), and (ii) Damascus Bakery Opco, LLC, 60 McClellan Street, Newark, NJ 07114, United States (“Brooklyn Bred”). Sweepstakes Administrator: Sponsors serve as administrator.
  18. Disclaimers: This Sweepstakes is in no way sponsored, endorsed, or administered by, or associated with Meta Platforms, Inc., including, without limitation, its subsidiaries Facebook and Instagram. The Participant understands that the Participant is providing information to the Sponsors of the Sweepstakes and not to Meta Platforms, Inc., Facebook, or Instagram. By entering, Participant agrees to release Meta Platforms, Inc. of any responsibility and agrees to Instagram’s and Meta’s terms of use.
